Terms of Service

Who we are
ElasticAccountant ("ElasticAccountant," "we," "us," or "our") provides a platform (the "Service") intended to connect business owners with independent, US-licensed accountants (CPAs and Enrolled Agents) who provide written answers to tax questions. ElasticAccountant is not an accounting firm and does not itself provide tax, accounting, or legal advice or services. Each accountant is solely responsible for their own professional advice.
The Service is not yet available
Today, the Service lets you describe a tax situation and submit a question so we can gauge interest and decide where to launch. No answer is provided, and submitting a question does not mean anyone will review or respond to it. We make no promise about if or when the answering service will become available in your state.
Acceptance of these terms
By accessing or using the Service, you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the Service. You must be at least 18 years old and able to form a binding contract to use the Service.
No professional relationship
Submitting a question does not create an accountant–client, attorney–client, or other professional relationship, and nothing on the Site is tax, accounting, or legal advice. Information you may receive through the Service in the future would be general in nature and is not a substitute for engaging a professional who can review your complete records.
The Service is not appropriate for emergencies, audits or enforcement proceedings, matters involving potential penalties or litigation, or situations requiring someone to file on your behalf or represent you before the IRS or a state tax authority. If your situation needs that, please engage a qualified professional directly.
What you submit
You are responsible for the accuracy of the information you submit, and you agree not to include Social Security numbers, bank account numbers, or other sensitive identifiers in your question. You should not submit information you are not comfortable sharing on the basis described in our Privacy Policy, and you should avoid including details about anyone other than yourself. We do not collect your name, email, or phone number through the form.
Fees
The answering service is not yet available, and nothing is charged today - submitting a question is free and we do not ask for payment information. Any prices shown on the Site are indicative of what a question is expected to cost once the service launches.
When the paid service becomes available, pricing will be per question with no subscription, hourly billing, or retainer, and you will always see the final price before anything is charged. Payments would then be handled by a third-party payment provider under its own terms.
Privacy
Our handling of the information you submit - including your question, the categorical answers, and the analytics we collect - is described in our Privacy Policy, which is incorporated into these Terms by reference.
Acceptable use
You agree not to use the Service to:
- submit false, misleading, or unlawful information;
- seek help in furthering fraud or any illegal act;
- impersonate another person or misrepresent your identity;
- interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems.
Intellectual property
The Service, including its text, design, and software, is owned by ElasticAccountant and protected by intellectual property laws. You retain ownership of the facts and content you submit and grant us a limited license to use them to operate, evaluate, and improve the Service.
Third-party links and referrals
The Service may link to or refer you to third parties, including outside professionals, government resources, and other tools, when your situation calls for help we do not provide. We offer these for convenience only. We do not control, endorse, or take responsibility for third parties or their services, and any dealings you have with them are solely between you and them.
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any answering service will become available.
Limitation of liability
To the fullest extent permitted by law, ElasticAccountant and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or in connection with your use of the Service. Because the Service is currently free, our total liability for any claim relating to it will not exceed one hundred US dollars (US$100).
Nothing in these Terms limits liability that cannot be limited under applicable law.
Indemnification
You agree to indemnify and hold harmless ElasticAccountant from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the Service or your violation of these Terms.
Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, misuse the Service, or where we reasonably believe it is necessary to protect the Service or its users. You may stop using the Service at any time. Provisions that by their nature should survive termination - including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution - continue to apply.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
Dispute resolution; arbitration and class-action waiver
Please read this section carefully - it affects how disputes between you and ElasticAccountant are resolved.
Except for disputes that qualify for small-claims court, you and ElasticAccountant agree to resolve any dispute arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in court, before a single arbitrator under the rules of a recognized arbitration provider. Judgment on the award may be entered in any court with jurisdiction.
You and ElasticAccountant agree to bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims. If this waiver is found unenforceable, the rest of this section does not apply to that claim, which must then proceed in the courts identified under Governing law.
Changes to these terms
We may modify the Service or these Terms at any time. When we make material changes, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
General
These Terms, together with the Privacy Policy, are the entire agreement between you and ElasticAccountant regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms create no third-party beneficiaries. We are not liable for delays or failures caused by events beyond our reasonable control. You agree that we may communicate with you electronically.
